Website and Digital Services Terms and Conditions

Health Connect Wounds Solutions

Version 1.0 | Proposed effective date: [INSERT DATE]

Legal entity: Health Connect Wounds Solutions
EIN: 39-3511785
Audience: Patients, prospective patients, caregivers, providers, referral sources, facilities, vendors, business partners, prospective medical partners, and visitors to our websites and approved digital services.

Please read these Terms carefully. By accessing or using a Health Connect Wounds Solutions website, portal, online form, connected-care service, communication channel, or other digital service that links to these Terms, you agree to these Terms. If you do not agree, do not use the applicable digital service. Medical treatment, telehealth, remote monitoring, provider participation, and business relationships may require separate consents or agreements.

1. About these Terms

These Website and Digital Services Terms and Conditions (“Terms”) govern access to and use of websites and digital services operated for Health Connect Wounds Solutions (“Health Connect,” “we,” “us,” or “our”). Covered services may include public websites, patient or provider portals, online forms, appointment tools, Office Ally interfaces, Health Connect ONE connected-care functions, Amazon Connect communications, approved CRM functions, text and email notifications, telehealth access links, and related digital content (collectively, the “Services”).

These Terms do not replace:

  • Our HIPAA Notice of Privacy Practices (“NPP”).
  • Our Privacy and Multichannel Health Information Policy.
  • A patient consent, telehealth consent, remote-monitoring consent, assignment of benefits, financial policy, or authorization.
  • A provider, facility, vendor, employment, MSO, Business Associate, data-use, or other signed agreement.

If a signed agreement directly conflicts with these Terms for the same subject, the signed agreement controls. The NPP and applicable law control the use and disclosure of protected health information (“PHI”).

2. Eligibility and authority

You may use the Services only if you can legally agree to these Terms. If you use the Services for another person or an organization, you represent that you have authority to act for that person or organization. We may request proof of identity, guardianship, personal-representative status, professional role, licensure, employment, or contracting authority.

The Services are intended primarily for persons and organizations located in jurisdictions where Health Connect or the applicable treating provider is authorized to operate. Availability of a website or digital feature does not mean that a particular clinical service is legally or operationally available in every location.

3. No emergencies

The Services are not emergency services and may not be continuously monitored. Do not use a website form, portal message, email, text message, voicemail, social-media channel, CRM message, or remote-monitoring platform for an emergency.

If you believe you are experiencing a medical emergency, call 911 or go to the nearest emergency department. Remote-monitoring devices and alerts are not substitutes for emergency services, continuous bedside monitoring, or a patient's own judgment about seeking urgent care.

4. Medical information and provider relationship

General website content is provided for informational and educational purposes. It is not medical advice, diagnosis, treatment, or a substitute for evaluation by a qualified health care professional.

Merely visiting a website, submitting a general inquiry, requesting an appointment, sending a referral, or receiving an automated response does not by itself create a clinician-patient relationship, guarantee acceptance as a patient, establish coverage, or obligate a provider to deliver treatment. A clinician-patient relationship is established only through applicable clinical intake, acceptance, consent, and encounter processes.

Clinical decisions are made by appropriately licensed professionals based on the information available, applicable standards, professional judgment, and the permitted scope of practice. Administrative, scheduling, billing, CRM, and technical-support personnel do not provide medical advice.

5. Telehealth and connected-care services

Telehealth, RPM, CCM, RTM, device-supported care, and similar services may involve Office Ally, Health Connect ONE, telephone, video, messaging, and connected devices. Use may require separate informed consent, enrollment, eligibility, orders, and payer requirements.

You understand that:

  • Technology can fail, communications can be delayed, and device readings can be incomplete, inaccurate, interrupted, or affected by connectivity, placement, battery, user technique, or equipment condition.
  • Not every reading or message is reviewed in real time. Response and escalation intervals depend on the program and care plan.
  • You must follow device instructions, report symptoms accurately, maintain equipment reasonably, and seek urgent or emergency care when appropriate.
  • A provider may determine that in-person evaluation or another level of care is necessary.
  • Services may be suspended or discontinued if clinically inappropriate, unsafe, unavailable, not covered, not authorized, or materially misused.

Health Connect uses telehealth technology and vendors intended to support applicable privacy and security requirements. No transmission method can be guaranteed completely secure or uninterrupted.

6. Appointments, referrals, eligibility, and authorization

An appointment request is not confirmed until you receive confirmation through an approved channel. Referrals may require review for clinical appropriateness, geographic coverage, provider availability, insurance participation, authorization, and completeness.

Eligibility verification or an estimate is not a guarantee of payment. Health plans determine coverage and benefits. Patients remain responsible for applicable deductibles, copayments, coinsurance, noncovered services, and other patient responsibility, subject to law and any separate financial policy.

You agree to provide accurate demographic, insurance, referral, clinical, and contact information and to notify us promptly of changes. We may contact you or the referring party to obtain missing information.

7. Accounts and access credentials

Some Services require an account. You agree to:

  • Provide accurate, current information.
  • Keep passwords, authentication codes, and devices secure.
  • Use only the account and records you are authorized to access.
  • Notify us promptly of suspected unauthorized access or credential compromise.
  • Log out of shared devices and avoid accessing sensitive information over insecure networks.

Accounts are individual unless we expressly approve an organizational or delegated-access arrangement. Sharing credentials, impersonating another person, accessing records out of curiosity, or attempting to bypass controls is prohibited. We may suspend or terminate access to protect patients, systems, legal compliance, or other users.

8. Communications, texts, calls, and recordings

You may provide telephone numbers, email addresses, portal details, and communication preferences. Subject to applicable law and your choices, Health Connect and its service providers may use approved channels for appointment reminders, scheduling, care coordination, referral updates, device support, billing, service notices, security alerts, and other communications related to your relationship with us.

By providing a contact method, you represent that you are authorized to use it and agree to notify us if it changes or is reassigned. Standard carrier message and data rates may apply. Message frequency varies. Ordinary email and SMS may have privacy risks; more secure options may be available on request.

Where permitted, calls may be monitored, recorded, or transcribed for quality, training, documentation, safety, or compliance. We will provide notice when required. If recording requires consent and you do not consent, tell the representative; another reasonable channel may be offered when available.

Consent to receive marketing communications is not a condition of purchasing or receiving health care services. Instructions such as STOP may be used to opt out of eligible automated text programs. Opting out of promotional messages does not prevent legally permitted treatment, payment, safety, account, or manually placed service communications. For help, use HELP or contact us using Section 23.

9. Patient and user responsibilities

You agree to:

  • Provide complete and accurate information and avoid submitting information about another person without authority.
  • Use the Services lawfully and respectfully.
  • Follow clinical, equipment, appointment, infection-control, and safety instructions provided by the treating team.
  • Review communications and promptly raise suspected errors, wrong-patient information, or incorrect contact details.
  • Keep copies of information you need when a Service does not provide permanent storage.
  • Avoid sending urgent medical information through unmonitored channels.

10. Acceptable use

You may not:

  • Violate law, privacy rights, intellectual-property rights, or contractual restrictions.
  • Upload malware; probe or circumvent security; scrape, crawl, reverse engineer, or disrupt the Services.
  • Gain or attempt to gain unauthorized access to PHI, accounts, systems, recordings, source code, or credentials.
  • Submit false referrals, fraudulent claims, misleading credentials, or information designed to impersonate another person.
  • Harass, threaten, discriminate against, exploit, or unlawfully surveil patients, workforce members, providers, or other users.
  • Record a visit, call, screen, image, or communication without all consent required by law and applicable policy.
  • Use Service content, PHI, or confidential information to train an artificial-intelligence model or build a commercial dataset without express written authorization.
  • Use automated tools in a way that imposes unreasonable load or interferes with patient care or operations.

11. Providers, referral sources, and medical partners

Providers, facilities, referral sources, vendors, and prospective partners must use patient and business information only for authorized purposes and through approved channels. Submission of a referral or partnership inquiry does not guarantee acceptance, credentialing, contracting, exclusivity, reimbursement, system access, or any minimum volume.

Before access to PHI or restricted systems is granted, Health Connect may require identity and credential verification, training, role approval, a services agreement, BAA, data-use agreement, confidentiality agreement, security review, or other documentation. Access remains limited to legitimate duties and may be audited or revoked.

No website statement creates an agency, employment, joint venture, fiduciary, franchise, or partnership relationship. Such a relationship exists only if stated in a written agreement signed by authorized representatives.

12. Privacy and health information

Our handling of personal information is described in the Privacy and Multichannel Health Information Policy. Our handling of PHI is also governed by the NPP and applicable law. Please review those documents before submitting sensitive information.

Do not send PHI through public comments, public reviews, social-media posts, or general website forms not designated for health information. If you voluntarily post information publicly, others may see, copy, or use it. We may redirect a social-media inquiry to a private approved channel without confirming whether the person is a patient.

13. Intellectual property

The Services and their text, design, graphics, logos, workflows, software, documentation, videos, forms, and other content are owned by or licensed to Health Connect and are protected by applicable intellectual-property law. Subject to these Terms, Health Connect grants you a limited, revocable, nonexclusive, nontransferable right to use the Services for their intended personal, clinical, referral, or authorized business purpose.

You may not copy, modify, distribute, sell, sublicense, publicly display, or create derivative works from protected content except with written permission or as permitted by law. Health Connect names and marks may not be used to imply endorsement or affiliation without written authorization.

14. Information and feedback you submit

You retain rights you have in information you lawfully submit. You authorize Health Connect and its service providers to host, process, transmit, reproduce, and use that information as reasonably necessary to provide the Services, administer the relationship, protect systems, comply with law, and perform activities described in the NPP, Privacy Policy, consent, or applicable agreement.

Do not submit content you lack authority to provide. If you voluntarily provide nonconfidential suggestions or feedback about the Services, you permit Health Connect to use that feedback without compensation or restriction, but this clause does not authorize use of PHI beyond applicable privacy requirements.

15. Third-party services and links

The Services may connect to Office Ally, Health Connect ONE, Amazon Connect, payer portals, laboratories, pharmacies, map services, video platforms, CRM tools, or other third-party services. A link or integration does not mean Health Connect controls every third party or endorses all of its content.

Third parties may have additional terms and privacy practices. Health Connect remains responsible only to the extent required by applicable law and its agreements. If a third-party service is unavailable, we may use an alternate workflow or temporarily suspend the affected function.

16. Fees, billing, subscriptions, and cancellation

Clinical charges, insurance billing, device charges, administrative fees, and partner fees are governed by applicable disclosures, financial policies, payer rules, orders, statements of work, and signed agreements. Website access alone does not create a recurring charge.

If Health Connect offers a consumer subscription, automatic renewal, free trial, or continuous paid service, the specific offer terms must clearly disclose the price, frequency, renewal, cancellation method, and any required reminder. Those specific terms control. Cancellation of a subscription or digital feature does not cancel completed services, outstanding balances, medical-record retention, or clinically necessary transition activities.

17. Service changes, availability, and termination

We may modify, maintain, restrict, suspend, or discontinue a Service or feature, subject to applicable law and contractual obligations. We do not guarantee uninterrupted availability, compatibility with every device, or retention of information outside the official medical or business record.

We may limit or terminate access for security risk, unlawful conduct, material breach, loss of eligibility or authorization, nonpayment where permitted, misuse, or operational necessity. When patient care is affected, clinical transition and continuity obligations will be addressed separately as required by professional and legal standards.

18. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, PUBLIC WEBSITE CONTENT AND NONCLINICAL DIGITAL FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” HEALTH CONNECT DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Nothing in these Terms disclaims or limits duties that cannot legally be disclaimed, including applicable professional standards, patient rights, privacy obligations, or liability that law does not permit us to exclude. No disclaimer changes the standard of care applicable to a licensed treating professional.

19. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HEALTH CONNECT AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM PUBLIC WEBSITE OR NONCLINICAL DIGITAL-SERVICE USE, INCLUDING LOSS OF DATA, REVENUE, OR BUSINESS OPPORTUNITY.

Any monetary cap, exclusion, or allocation of risk for professional services, paid services, vendors, or medical partners is governed by the applicable signed agreement and law. These Terms do not limit liability where limitation is prohibited, and they do not waive any patient remedy established by applicable law.

20. Indemnification for organizational users

If you use the Services for a provider, facility, vendor, referral source, or other organization, that organization agrees—subject to applicable law and any signed agreement—to defend and indemnify Health Connect against third-party claims arising from its unauthorized use, unlawful content, credential sharing, infringement, or material violation of these Terms. This section does not apply to patients acting solely in their capacity as patients to the extent prohibited by law.

21. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where federal law or another mandatory law controls.

Before filing a dispute concerning website or nonclinical digital-service use, the parties should attempt in good faith to resolve it through the contact in Section 23. Unless a signed agreement states otherwise or law requires a different forum, disputes may be brought in a court of competent jurisdiction in [INSERT COUNTY], California.

No arbitration agreement or class-action waiver is created by this draft. If Health Connect wishes to require arbitration or a class-action waiver, qualified counsel should provide a separate, conspicuous provision and acceptance process appropriate to the affected audience and services.

Clinical malpractice, professional-board, payer, privacy, and patient-rights matters remain subject to the laws and procedures specifically applicable to them.

22. Changes to these Terms

We may update these Terms to reflect changes in law, technology, services, or operations. The posted version will state its effective date. If a change materially affects an existing paid digital service or other rights requiring notice or consent, we will provide the notice or obtain the consent required by applicable law or agreement.

Continued use after the effective date of posted changes constitutes acceptance to the extent permitted by law. Changes do not retroactively alter signed agreements or reduce rights that cannot legally be waived.

24. General provisions

If a provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue. Failure to enforce a provision is not a waiver. Headings are for convenience and do not change meaning.

You may not assign these Terms without our written consent. Health Connect may assign them in connection with a lawful restructuring, affiliation, transfer, or operation of the Services, subject to applicable privacy, professional, and patient-care requirements.

These Terms, together with incorporated policies and any applicable signed agreement, contain the agreement governing the relevant digital-service use. Electronic acceptance and records may be used to the extent permitted by law.

25. Pre-publication checklist

Before publishing these Terms, Health Connect should:

  • Insert the effective date and California county; confirm whether a separate legal contact is required.

  • Link the current NPP and Privacy and Multichannel Health Information Policy.
  • Decide which websites, portals, forms, applications, and communication programs display or incorporate these Terms.
  • Confirm the acceptance method and preserve evidence of acceptance where a binding click agreement is intended.
  • Review Amazon Connect recording and transcription notices for California and every state in which participants may be located.
  • Review text, autodialed-call, and marketing-consent language and opt-out operations.
  • Confirm telehealth, RPM, CCM, and RTM consents, monitoring hours, escalation statements, device terms, and downtime procedures.
  • Confirm fee, cancellation, refund, subscription, and automatic-renewal language for every paid offering.
  • Determine whether an arbitration clause is appropriate; do not add one without counsel and a valid acceptance process.
  • Obtain final review by qualified California health care and technology counsel.
